Client Portal Terms of Service & Acceptable Use Policy

These Terms of Service and Acceptable Use Policy (“Terms”) govern access to and use of the Jorie AI Client Portal (“Portal”). By accessing the Portal, you agree to be bound by these Terms. If you are accessing the Portal on behalf of an organization, you represent that you have authority to bind that organization.
If you do not agree to these Terms, do not use the Portal.
1. Purpose of the Portal
The Portal provides clients with secure, centralized access to resources, information, and tools made available by Jorie AI. It serves as a unified environment for viewing materials, managing interactions, and facilitating collaboration between clients and Jorie AI.
The Portal is provided solely for authorized business use by Jorie AI clients.
2. Account Access and Security
You are responsible for:
• Maintaining the confidentiality of your login credentials
• Ensuring only authorized personnel access your account
• Immediately notifying Jorie AI of unauthorized access
• Using secure devices and networks when accessing the Portal
Jorie AI may suspend or terminate access if account misuse or security risks are detected.
3. Acceptable Use Policy (AUP)
The following rules apply to all users of the Portal. Violations may result in suspension or termination of access.
3.1 Authorized Use
The Portal may be used only for legitimate business purposes related to your organization’s engagement with Jorie AI. Access is limited to authorized users who have been granted credentials by Jorie AI or your organization’s administrator.
3.2 Prohibited Activities
Security & System Integrity
Users may not:
• Attempt to bypass, disable, or interfere with security controls
• Introduce malware, harmful code, or unauthorized software
• Attempt to gain access to accounts, data, or systems they are not authorized to access
Misuse of Access
Users may not:
• Share login credentials with unauthorized individuals
• Allow third parties to access the Portal through their account
Data Handling Violations
Users may not:
• Download, copy, or distribute Portal content outside their organization
• Store Portal content in unsecured or non‑approved environments
• Modify or repurpose materials without authorization
Improper Conduct
Users may not:
• Submit fraudulent, misleading, or inappropriate content
• Use the Portal for any unlawful, unethical, or non‑business purpose
3.3 User Responsibilities
Users must:
• Maintain the confidentiality of their credentials
• Use secure devices and networks when accessing the Portal
• Report suspected security incidents or misuse immediately
• Ensure all uploaded or submitted content is accurate, lawful, and free of harmful code
3.4 Monitoring and Enforcement
Jorie AI may monitor Portal activity to ensure compliance with these Terms.
Violations may result in:
• Temporary suspension of Portal access
• Permanent termination of access
• Notification to your organization
• Additional actions as permitted under your service agreement or applicable law
4. Data Ownership and Use
All documents, reports, and files shared with you through the Portal remain the property of the respective owners as defined in contract agreements with Jorie AI.
You may download or use shared materials only for authorized business purposes.
You may not:
• Redistribute Portal content outside your organization
• Modify or repurpose content without permission
• Store content in unsecured environments
5. Availability and Modifications
Jorie AI may update, modify, or discontinue Portal features at any time.
Jorie AI does not guarantee uninterrupted access and is not liable for downtime.
6. Confidentiality
All materials accessed through the Portal are confidential. You must protect them with the same degree of care you use for your own confidential information.
7. Limitation of Liability
To the fullest extent permitted by law:
• The Portal is provided “as is” and “as available.”
• Jorie AI is not liable for indirect, incidental, consequential, or any other damages of any kind
8. Termination
Jorie AI may suspend or terminate Portal access for:
• Security concerns
• Breach of these Terms
• Termination of your service agreement
Upon termination, access to all Portal content will be revoked.
9. Governing Law
These Terms are governed by the laws of the State of Illinois, without regard to conflict‑of‑law principles.
